Legal Counsel – 12‑Month Fixed‑Term (Hybrid)

About the role

Tirlán, a world‑class food and nutrition co‑operative, is seeking a Legal Counsel on a 12‑month fixed‑term basis. The role will be based at the Head Office in Kilkenny and will work closely with the business to deliver timely legal services, improve commercial terms and manage risk.

Key responsibilities

• Review, draft and negotiate day‑to‑day commercial agreements covering manufacture, development, supply, distribution, procurement and IT services.
• Advise on enforcement of contractual terms, including termination, exclusivity, restrictive covenants and warranty/indemnity claims.
• Provide legal and commercial guidance across a dynamic international environment.
• Support the establishment of joint ventures, collaborations and investments, drafting subscription and shareholders agreements.
• Participate in corporate M&A work, including due diligence, purchase contract negotiation and post‑completion integration.
• Manage and progress District, Circuit & High Court commercial litigation in Ireland with external counsel.
• Engage external lawyers for disputes and legal proceedings outside Ireland.
• Evaluate intellectual property activities, trade‑mark proposals and advise on ownership and infringement.
• Advise on legal aspects of business integration, rationalisation and optimisation projects.
• Update company policies and deliver training to internal units.
• Support and mentor junior team members.

Required profile

• Third‑level Law or Business degree.
• Professional legal qualification (Solicitor, Barrister or international equivalent).
• Broad business knowledge of Tirlán’s operations and relationships.
• Strategic thinker and capable problem‑solver.
• Solid experience in commercial law within a dynamic environment.
• Strong drafting, negotiating and communication abilities.
• Ability to work independently.
