Legal Counsel

About the role

Newcode.ai is a fast‑growing legal‑tech and generative‑AI company seeking a Legal Counsel to build and scale its legal and compliance capabilities as it expands internationally. You will act as a strategic partner to leadership, supporting commercial growth, corporate governance, and risk management across multiple jurisdictions.

Key responsibilities

• Draft, review, negotiate and manage customer, vendor, partner and technology agreements.
• Partner with Sales and Customer Success to accelerate deal execution while managing legal risk.
• Develop contract templates, playbooks and approval processes to improve efficiency.
• Manage corporate governance activities, equity administration, cap table management and corporate transactions for entities in several countries.
• Maintain and protect the intellectual property portfolio, including trademarks and copyrights.
• Design, implement and monitor compliance programs (ISO certifications, data protection, security, regulatory frameworks).
• Identify, assess and mitigate legal, regulatory, operational and commercial risks; manage disputes and litigation with external counsel.

Required profile

• Law degree from an accredited university in Ireland, Sweden or Norway.
• 5+ years of experience as in‑house counsel, preferably in AI or SaaS tech startups.
• Proven experience supporting commercial contracting and international business operations.
• Strong understanding of corporate governance, regulatory compliance and risk management.
• Excellent negotiation, communication and stakeholder‑management skills.

Required skills

• Experience with Vanta or OneTrust (or similar compliance software).
