About the role
The Governance Assistant will support the Head of Corporate Governance in Ireland, ensuring that subsidiary boards and committees operate in line with regulatory requirements, best‑practice standards and group policies. This role is based in Dublin and involves day‑to‑day secretarial administration for unregulated TD subsidiaries.
Key responsibilities
- Act as Company Secretary for unregulated Ireland TD subsidiaries, coordinating board and committee meetings.
- Draft agendas, meeting papers, resolutions and memos; circulate and track approvals.
- Maintain legal entity registers, Board Training Plans, Board Policies, and the Global Entity Management System (GEMS).
- Update authorised signatory lists, powers of attorney and other legal documents.
- Respond to ad‑hoc queries from board members, auditors and regulators; support internal audit and regulatory inspections.
- Collaborate with other Governance Assistants and contribute to ad‑hoc projects as directed.
Required profile
- Degree qualified with a strong academic background.
- Corporate governance secretarial qualification from the Chartered Governance Institute UK & Ireland.
- 2‑3 years of company secretarial experience, preferably within financial services or a regulated sector.
- Strong interpersonal skills and ability to build relationships at all organisational levels.
