About the role
The Company Secretary (Governance Assistant) will support the Head of Corporate Governance in managing secretarial and governance activities for subsidiary boards and committees. The role ensures that governance processes comply with legal, regulatory and best‑practice standards while providing reliable administrative support.
Key responsibilities
- Act as Company Secretary for unregulated subsidiary entities, collaborating closely with senior governance professionals.
- Organise board and committee meetings, draft agendas, liaise with management on agenda items, and prepare and distribute meeting papers.
- Collate, format and circulate board materials, track action items and draft written resolutions for approval.
- Maintain accurate legal entity registers, governance records, board training plans and policy schedules.
- Update governance management systems, authorised signatory lists and powers of attorney.
- Assist in developing and maintaining governance policies, procedures and controls.
- Respond to ad‑hoc queries from stakeholders, auditors and regulators, and support internal audits and regulatory inspections.
- Collaborate with other governance professionals and contribute to additional projects as required.
Required profile
- Degree qualified with a strong academic background.
- Co‑sec qualification from the Chartered Governance Institute (UK & Ireland).
- 2‑3 years of company secretarial or corporate governance experience, preferably within financial services or a regulated environment.
- Excellent interpersonal skills and the ability to maintain confidentiality.
- Strong organisational, analytical and communication abilities.
